1. Scope and Contractual Relationship

1.1 Platform Description

RideNavigator (accessible at ridenavigator.com) is an online platform operated by ChatSerge Inc., a Delaware corporation ("RideNavigator," "we," "us," "our") that provides two services: (a) a comparison engine that aggregates and displays ground transportation options from third-party transport providers, and (b) a marketplace that connects passengers ("Customers") directly with independent transport providers ("Drivers").

1.2 Intermediary Role

RideNavigator is a technology intermediary only. We are not a transport provider, carrier, taxi service, or logistics company. We do not own, operate, or control any vehicles. We do not employ Drivers. All transportation services are provided by independent third-party Drivers or transport companies. When a booking is made through the Platform, the transportation contract is formed directly between the Customer and the Driver or transport provider.

1.3 Acceptance

By accessing or using the Platform, creating an account, or making a booking, you agree to be bound by these Terms and Conditions ("Terms"), our Privacy Policy, and any additional terms applicable to specific services.

1.4 Eligibility

You must be at least 18 years old (or the age of legal majority in your jurisdiction) to use the Platform. By using the Platform, you represent that you meet this requirement.

2. Service Description

2.1 Comparison Service

The Platform aggregates and displays ground transportation options (airport transfers, city-to-city transfers, chauffeur services) from various third-party providers. Prices, availability, and service details shown are provided by these third parties and are subject to change. We make reasonable efforts to ensure accuracy but do not guarantee that displayed information is complete, current, or error-free.

2.2 Marketplace Service

Registered Drivers may list their services on the Platform. Customers may book directly with these Drivers through the Platform. RideNavigator facilitates the matching, communication, and payment processing between Customers and Drivers.

2.3 Service Scope

Our services include airport transfers, station transfers, city-to-city transfers, chauffeur and executive car services, event transportation, and cross-border transfers within applicable jurisdictions. All transfers are subject to availability.

3. Bookings

3.1 Booking Process

A booking is confirmed when the Customer completes the checkout process and receives a booking confirmation. For marketplace bookings, confirmation occurs when the assigned Driver accepts the booking request.

3.2 Booking Details

Customers must provide accurate pickup and drop-off locations, date and time, number of passengers (including children), luggage requirements, flight or train details (for airport/station transfers), and any special requirements. Inaccurate or incomplete information may result in service disruption for which RideNavigator bears no responsibility.

3.3 Vehicle Classes

Vehicle options may include standard (3–4 passengers), business/executive, first class/luxury, minivan (6–7 passengers), and minibus. Exact vehicle models may vary. The assigned vehicle will meet or exceed the specifications of the selected class.

3.4 Waiting Time and Flight Tracking

For airport pickups, Drivers include complimentary waiting time (typically 60 minutes after landing for international flights, 30 minutes for domestic flights). For other pickups, standard waiting time is 15 minutes from the agreed time. Additional waiting may be charged.

4. Pricing and Payments

4.1 Pricing

Prices displayed on the Platform are inclusive of the base transfer fare. Additional charges may apply for extras such as, but not limited to, cancellation insurance, child seats, additional stops, excess luggage, or extended waiting time. Prices are quoted in the currency displayed at the time of booking.

4.2 Payment Processing

Payments are processed securely through the Platform's designated payment processor (which may include Stripe Connect or other payment service providers). RideNavigator acts as a payment facilitator. We do not store full credit card details. Customers authorize payment at the time of booking.

4.3 Commission and Invoicing

For marketplace bookings, RideNavigator retains a platform commission from each transaction under a tiered model (starting at 18%, decreasing to a minimum of 10% based on Driver turnover). The Driver receives the balance after commission deduction. Full commission tier details are disclosed in the Driver Agreement. RideNavigator issues invoices on behalf of the Driver to the Customer for the full fare. RideNavigator then invoices the Driver for the commission amount. Commission is stated net of VAT; where VAT applies, it is charged in addition to the commission and itemized separately.

4.4 Refunds

Refunds are processed in accordance with the applicable cancellation policy and returned to the original payment method. Processing times depend on the Customer's financial institution.

5. Cancellations

5.1 Customer Cancellations

Customers may cancel bookings free of charge up to 12 hours before the scheduled pickup time. Cancellations made less than 12 hours before pickup may be subject to a cancellation fee of up to 100% of the booking value, depending on the specific service and provider terms.

5.2 Driver Acceptance of Cancellation Risk

Drivers acknowledge and accept that the 12-hour free cancellation window is an integral part of the Platform's service offering. Free cancellations occurring within this window are a normal business risk borne by the Driver. Drivers shall not hold RideNavigator liable for any costs, lost income, or expenses resulting from Customer cancellations made within the permitted free cancellation period.

5.3 Driver Cancellations

Drivers who cancel confirmed bookings may be subject to penalties, account restrictions, or removal from the Platform.

5.4 No-Shows

If a Customer fails to appear at the pickup location within the agreed waiting time, the booking may be considered a "no-show" and charged in full.

6. Customer Responsibilities

6.1 Accurate Information

Customers must provide accurate contact information and be reachable at the provided phone number or email before and during the transfer.

6.2 Behavior

Customers must behave respectfully toward Drivers and other passengers. Aggressive, threatening, or illegal behavior may result in termination of service without refund.

6.3 Luggage and Passengers

The number of passengers and luggage must not exceed the capacity of the booked vehicle class. Oversized luggage (e.g., skis, golf clubs, musical instruments) must be declared in advance.

6.4 Prohibited Items

Transport of illegal substances, weapons, hazardous materials, or items prohibited by law is strictly forbidden.

6.5 Pets

Pets are allowed only if declared in advance and subject to Driver approval. Additional cleaning fees may apply.

7. Driver Responsibilities

7.1 Professionalism

Drivers must maintain professional appearance, behavior, and vehicle cleanliness. They must hold all required licenses, permits, and insurance.

7.2 Vehicle Standards

Vehicles must be roadworthy, clean, and equipped with seatbelts for all passengers. Vehicles must meet or exceed the specifications of the booked class.

7.3 Timeliness

Drivers must arrive at the pickup location on time. In case of delay, the Driver must notify the Customer and RideNavigator immediately.

7.4 Safety

Drivers must comply with all traffic laws and drive safely. They must not operate the vehicle under the influence of alcohol or drugs.

7.5 Insurance

Drivers must maintain valid commercial passenger transport insurance covering all passengers and third-party liability.

8. Liability

8.1 RideNavigator's Liability

RideNavigator's liability is limited to the facilitation of the Platform. We are not liable for any loss, damage, injury, or delay arising from the transportation service itself, which is the sole responsibility of the Driver or third-party transport provider.

8.2 Maximum Liability

To the extent permitted by law, RideNavigator's maximum aggregate liability for any claim arising from these Terms or use of the Platform shall not exceed the total commission earned by RideNavigator from the relevant booking.

8.3 Exclusions

RideNavigator is not liable for indirect, consequential, or punitive damages, loss of profits, or business interruption.

8.4 Force Majeure

Neither party is liable for failure to perform obligations due to events beyond reasonable control, including natural disasters, war, terrorism, strikes, government actions, or pandemics.

9. Intellectual Property

All content on the Platform (text, graphics, logos, software) is owned by RideNavigator or its licensors and protected by copyright and trademark laws. You may not copy, modify, distribute, or create derivative works without express written permission.

10. Termination

RideNavigator may suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or any other reason deemed necessary to protect the Platform or its users.

11. Dispute Resolution

11.1 Governing Law

These Terms are governed by Swiss law, excluding its conflict of law provisions.

11.2 Jurisdiction

Any disputes shall be subject to the exclusive jurisdiction of the courts of Zurich, Switzerland.

11.3 Alternative Dispute Resolution

Before initiating legal proceedings, parties agree to attempt to resolve disputes through good-faith negotiation.

12. Modifications

RideNavigator may modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the Platform. Continued use after changes constitutes acceptance.
