And: The registered Driver or transport company ("Driver," "you")

1. Nature of Relationship
1.1 Independent Contractor
You are an independent contractor, not an employee, agent, or partner of RideNavigator. This Agreement does not create an employment, franchise, or joint venture relationship. RideNavigator does not control the manner, method, or means by which you perform transportation services.
1.2 No Exclusivity
You are free to use other platforms, accept bookings from other sources, and operate your business independently. RideNavigator does not require exclusivity.
1.3 Freedom to Accept or Decline
You may accept or decline any booking request at your discretion. However, patterns of excessive cancellations after acceptance may affect your account standing.

2. Driver Requirements
2.1 Registration
To register as a Driver on the Platform, you must provide valid government-issued identification, a valid professional driver's license appropriate for passenger transport in your operating jurisdiction, proof of vehicle registration and roadworthiness inspection, proof of commercial passenger transport insurance with adequate coverage limits, any required professional transport permits or licenses (e.g., taxi license, private hire license), and business registration documents (if operating as a company).
2.2 Ongoing Compliance
You are solely responsible for maintaining all licenses, permits, and insurance required by law in every jurisdiction where you operate. You must promptly notify RideNavigator of any changes to your licensing, insurance, or vehicle status. Failure to maintain compliance may result in immediate account suspension.
2.3 Vehicle Standards
Vehicles used for Platform bookings must be properly registered, insured, and roadworthy. Vehicles must be clean, well-maintained, and meet or exceed the standards of the vehicle class under which they are listed. You must not misrepresent your vehicle class.

3. Service Standards
3.1 Professional Conduct
You agree to arrive at pickup locations on time (at least by the airplane landing time for airport pickups, at least 8 minutes before the agreed time for non-airport pickups), maintain professional appearance and conduct, assist passengers with luggage, follow the most efficient route unless the Customer requests otherwise, comply with all traffic laws, speed limits, and regulations, and not use a mobile phone while driving except for hands-free navigation.
3.2 Customer Safety
You shall ensure that the vehicle is in safe operating condition before each trip, all passengers wear seatbelts, child safety seats are properly installed when provided, and you do not operate the vehicle under the influence of alcohol, drugs, or any substance that impairs driving ability.
3.3 Prohibited Conduct
The following conduct is strictly prohibited: refusing service based on a passenger's race, nationality, gender, religion, disability, or any other protected characteristic; overcharging or requesting payment outside the Platform; soliciting direct bookings from Platform Customers; sharing Customer personal data with unauthorized parties; and subcontracting assigned bookings without prior Platform approval.
3.4 Cancellation Risk
The Platform offers Customers free cancellation up to 12 hours before the scheduled pickup time. You acknowledge and accept that cancellations within this window are a normal and inherent business risk of operating on the Platform. You shall not hold RideNavigator liable for any costs, lost income, preparation expenses, or other losses resulting from Customer cancellations made within the permitted free cancellation period. Late cancellations (within 12 hours of pickup) are subject to cancellation fees collected from the Customer, which may be partially distributed to the affected Driver at RideNavigator's discretion.

4. Payments and Commission
4.1 Commission Structure
RideNavigator operates a tiered commission model based on cumulative turnover. Commissions are calculated as a percentage of the net booking fare (excluding VAT) and decrease as your turnover grows. All commission rates include the payment processor fee:
- **Standard (Tier 1):** 18% commission — CHF 0 to CHF 20,000 cumulative turnover
- **Silver (Tier 2):** 15% commission — CHF 20,001 to CHF 35,000 cumulative turnover
- **Gold (Tier 3):** 12% commission — CHF 35,001 to CHF 50,000 cumulative turnover
- **Platinum (Tier 4):** 10% commission — CHF 50,001 and above
Tier progression is calculated automatically based on your cumulative completed booking value and is visible in your Driver Dashboard.
4.1.1 Quality Adjustment
Drivers who maintain an average rating below 4.0 stars are subject to an additional 3% commission surcharge on their applicable tier rate. This surcharge is automatically applied and remains in effect until the average rating returns to 4.0 stars or above. This adjustment reflects the increased Platform costs associated with customer complaints, rebooking, and reputation management.
4.2 Commission Invoicing
RideNavigator issues invoices on behalf of the Driver to the Customer for the full fare amount of each completed booking. RideNavigator then issues a separate commission invoice to the Driver for the applicable commission amount. Commission amounts are stated net (excluding VAT). Where VAT or equivalent tax is applicable to the commission, it will be charged in addition to the net commission amount and clearly itemized on the commission invoice. For clarity: if the applicable commission rate is 18% and VAT applies, the Driver pays 18% commission plus VAT on that 18%.
4.3 Payment Processing
Payments from Customers are processed through the Platform's designated payment processor (which may include Stripe Connect or other payment service providers). Funds are held by the payment processor until service completion and then released to the Driver's connected account, minus the platform commission. The specific payment processor and payout mechanics are communicated to Drivers upon registration and may be updated with notice.
4.4 Payout Schedule
Payouts are processed according to the schedule configured with the applicable payment processor. Standard payout timing is subject to the processor's schedules and any applicable holding periods.
4.5 Taxes
As an independent contractor, you are solely responsible for all tax obligations arising from your income through the Platform, including income tax, VAT/GST (where applicable), social security contributions, and any other taxes or levies. RideNavigator does not withhold taxes on your behalf.
4.6 Records
RideNavigator provides transaction records, commission statements, and invoice history through the Platform dashboard.

5. Intellectual Property
5.1 Platform Content
All content on the Platform (including logos, text, software, and design) is owned by RideNavigator or its licensors and protected by intellectual property laws. You may not copy, modify, or distribute Platform content without authorization.
5.2 Driver Content
By submitting photos, descriptions, or other content to the Platform, you grant RideNavigator a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content for Platform operations.

6. Data Protection
6.1 Customer Data
You may receive Customer personal data (name, contact details, pickup/drop-off locations) necessary to fulfill bookings. You must process this data only for the purpose of providing the transportation service, keep it confidential, and delete it after the applicable retention period unless required by law.
6.2 Compliance
You must comply with applicable data protection laws (including FADP and GDPR) when processing Customer data. You are considered an independent data controller for the Customer data you receive.

7. Liability and Insurance
7.1 Driver Liability
You are solely liable for any loss, damage, injury, or delay arising from the transportation service you provide. You must maintain adequate commercial passenger transport insurance covering all passengers and third-party liability.
7.2 RideNavigator's Liability
RideNavigator's liability is limited to the facilitation of the Platform. We are not liable for any issues arising from the transportation service itself.
7.3 Indemnification
You agree to indemnify and hold RideNavigator harmless from any claims, damages, or losses arising from your provision of transportation services, violation of this Agreement, or breach of applicable laws.

8. Termination
8.1 By Either Party
Either party may terminate this Agreement at any time by providing written notice.
8.2 By RideNavigator
RideNavigator may suspend or terminate your account immediately for violation of this Agreement, fraudulent activity, failure to maintain required licenses or insurance, or any conduct that harms the Platform's reputation.
8.3 Effect of Termination
Upon termination, you must cease using the Platform and delete any Customer data in your possession. Outstanding payments will be processed according to the payment schedule.

9. Dispute Resolution
9.1 Governing Law
This Agreement is governed by Swiss law, excluding its conflict of law provisions.
9.2 Jurisdiction
Any disputes shall be subject to the exclusive jurisdiction of the courts of Zurich, Switzerland.
9.3 Negotiation
Before initiating legal proceedings, parties agree to attempt to resolve disputes through good-faith negotiation.

10. General Provisions
10.1 Modifications
RideNavigator may modify this Agreement at any time. Material changes will be communicated via email or Platform notification. Continued use after changes constitutes acceptance.
10.2 Entire Agreement
This Agreement constitutes the entire understanding between the parties and supersedes any prior agreements.
10.3 Severability
If any provision is found invalid or unenforceable, the remaining provisions remain in full effect.
10.4 Assignment
You may not assign this Agreement without RideNavigator's written consent. RideNavigator may assign this Agreement to an affiliate or successor.
10.5 Notices
Notices may be sent via email to the address on file or through the Platform's notification system.
